Churchill has a history of profitable organic growth supplemented by selected acquisitions that fit our entrepreneurial culture, enhance our strategic goals, and improve our financial results.
The Churchill Corporation was incorporated on August 31, 1981, and its shares began trading on the Alberta Stock Exchange (TSX Venture Exchange) on December 1, 1987. In 1989 Churchill acquired Stuart Olson Construction Limited from the Olson family, which included Fuller Austin and Northern Industrial Insulation, the two current operating companies of Insulation Holdings Inc.
In 1990, Churchill acquired Triton Projects. On December 8, 1999, Churchill Common Shares were listed for trading on the Toronto Stock Exchange (the “TSX”). In February 2003, Churchill acquired Laird Electric, and in 2009 Churchill sold its Triton businesses.
On July 13, 2010, Churchill acquired Seacliff Construction Corporation, with its operating companies Dominion Construction, Canem Systems and Broda Construction. On April 29, 2011, Churchill acquired McCaine Electric, established in Winnipeg, Manitoba in 1918. McCaine operates as a subsidiary of Canem. On July 15, 2011, Churchill began paying a common share dividend of $0.12 per share.
Stuart Olson Construction Limited was originally founded by Mr. Stuart Olson in 1939 in Edmonton, Alberta. With offices in Vancouver, Edmonton, Calgary and Saskatoon, Stuart Olson became a progressive builder and construction manager. In 1988 Stuart Olson acquired Northern Industrial Insulation and Fuller Austin Insulation, and the company was acquired by Churchill in 1989.
Dominion Construction was originally founded in 1911 and soon became an established builder in Western Canada. In 1988 Seacliff Construction acquired a 40% interest in Dominion, and in 1998 Seacliff acquired the remaining 60% interest. At the time the British Columbia construction market was being increasingly serviced by Dominion’s open-shop competitors, so in 1999 Seacliff acquired Fairmile Construction, an open-shop company. In 2002, Fairmile was merged with Dominion.
In 2010, with Churchill’s acquisition of Seacliff, Dominion was combined with Stuart Olson to form Stuart Olson Dominion.
In 2011, Stuart Olson Dominion was selected by Alberta Infrastructure as general contractor for three Alberta hospitals valued at $421 million ($315 million of backlog additions). The hospitals are located in Medicine Hat, Lethbridge and Edson, Alberta and were three of a group of five hospitals that were up for tender.
Canem was founded in 1960 in Victoria, British Columbia and became an electrical and a mechanical subcontracting company operating in British Columbia and Alberta. Seacliff acquired Canem in 1992. In 1995, Canem discontinued its mechanical operations and began to grow its electrical and data communications business through a combination of organic growth and a series of acquisitions in Edmonton, Nanaimo and Vancouver.
Churchill purchased Canem in 2010 as part of the Seacliff acquisition. Canem expanded its operations into Manitoba in 2011 with Churchill’s acquisition of McCaine Electric.
Laird Electric was founded as a building trades union electrical contractor in Fort McMurray, Alberta in 1962. Churchill acquired Laird in February 2003, and Laird moved its head office to Edmonton in 2009.
In 1988, Stuart Olson Construction Limited acquired Fuller Austin (founded in 1961) and Northern Industrial (founded in 1984), and they in turn were acquired by Churchill along with the rest of Stuart Olson in 1989. Fuller Austin serves the building-trades union market and Northern Industrial serves the open-shop market, and they together form the operations of Insulation Holdings Inc.
Broda Construction was established in Kamsack, Saskatchewan by Cas Broda in 1957 as a gravel hauling company. In 1976 the company began operating quarries to supply ballast (crushed rock) to railroads, becoming the exclusive Western Canadian supplier to CN Rail and CP Rail. Growth in Broda’s operating companies, Broda Construction, North American Rock and Dirt, and Kam-Crete Ltd., continued and in 2009 Broda was acquired by Seacliff. In 2010, Churchill purchased Broda as part of the Seacliff acquisition.
